Terms of Service

Before you begin

By registering for Juris, you agree to these Terms. Juris is built for qualified legal professionals — Section 6 describes how the AI research features work within your existing professional obligations, Section 7 addresses professional ownership of work product, and Section 11 sets out our liability framework. If you are agreeing on behalf of a law firm, you represent that you have authority to bind that firm.

1. Acceptance and Parties

These Terms of Service ("Terms") govern your access to and use of the Juris platform, operated by Kwata Team ("Juris," "we," "us," "our"), based in Alberta, Canada.

By creating an account, you ("you," "User," "Subscriber") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use Juris.

2. Eligibility

Juris is intended for use by:

  • ·Lawyers, paralegals, and other licensed legal professionals.
  • ·Law firms and legal organizations in the jurisdictions Juris supports (you set your country of practice at sign-up).
  • ·Support staff employed by or under the supervision of licensed legal professionals.

You must be at least 18 years old and legally capable of entering into a binding contract. By using Juris, you represent that you meet these eligibility requirements.

3. Account Registration and Security

You are responsible for maintaining the confidentiality of your login credentials. You agree to:

  • ·Provide accurate and complete information during registration.
  • ·Keep your password and two-factor authentication credentials secure.
  • ·Notify us immediately at juris@kwatateam.com if you suspect unauthorized access to your account.
  • ·Ensure that each person who accesses Juris through your firm account is authorized by you and has agreed to these Terms.

You are responsible for all activity that occurs under your account. We are not liable for losses caused by unauthorized account use resulting from your failure to secure your credentials.

4. Subscription, Billing, and Cancellation

Juris is offered on a subscription basis. Subscriptions are billed monthly or annually in US dollars (USD) via DodoPayments. All prices are listed on the Juris pricing page and are subject to change with 30 days' notice to active subscribers.

  • ·Free Trial: New subscribers receive a 14-day free trial. No payment is required during the trial period. Your subscription begins at the end of the trial unless you cancel.
  • ·Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled.
  • ·Cancellation: You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for partial periods except where required by law.
  • ·Refunds: Refunds are not generally provided. If you believe you were charged in error, contact juris@kwatateam.com within 30 days of the charge.

5. Acceptable Use

You agree not to use Juris to:

  • ·Violate any applicable law, including Canadian federal and provincial law and applicable professional conduct rules.
  • ·Upload or process materials you do not have the right to share or process.
  • ·Attempt to reverse-engineer, circumvent, or interfere with the platform.
  • ·Use the platform to provide legal services to third parties who have not been onboarded as clients of your firm under proper retainer agreements.
  • ·Transmit malware, viruses, or other harmful code.
  • ·Scrape or harvest data from the platform using automated means.
  • ·Impersonate another person or entity.
  • ·Attempt to gain unauthorized access to other tenants' data.

Violation of these terms may result in immediate suspension or termination of your account without refund.

6. AI Research Features — How Juris Works

Juris is a sophisticated legal research and case management platform. Sage, our AI research companion, is designed to accelerate the work of qualified lawyers — surfacing case law, analysing documents, identifying arguments, and structuring research across your matters. Sage is a powerful professional tool. That is what it is built to be.

Like all research tools — legal databases, secondary sources, annotated statutes — the output Sage produces is research. It informs your professional judgment. It does not replace it. Sage has not been called to any bar. Sage cannot give legal advice to your clients, form solicitor-client relationships, or exercise the professional judgment that the law requires of a licensed practitioner.

AI research tools, including Sage, operate on large language models that can produce outputs which are plausible but incorrect — including citations that do not exist or contain errors in the cited proposition, date, court, or outcome. This is a known characteristic of current AI technology. Juris addresses this through its built-in citation verification and verified output workflow: every piece of AI-generated research can be traced, checked, and formally adopted before it is used professionally. That workflow is a feature of Juris — it reflects how competent legal professionals use research tools, including this one.

Your professional obligations under your law society's rules of conduct — including your duty of competence and your duty to supervise — apply to all of your work, including work that incorporates AI-generated research. Juris does not modify, limit, or supersede those obligations. We have built the verification workflow specifically so that meeting those obligations within Juris is straightforward, documented, and auditable.

You are responsible for ensuring that any document filed with a court, tribunal, or regulatory body — and any advice given to a client — meets the standards required of you as a professional. We are not responsible for professional sanctions, adverse costs awards, discipline proceedings, or other consequences arising from the use of Juris outputs in your practice.

7. Professional Ownership of Work Product

When you use Juris to conduct research and choose to incorporate that research into your professional work — a filing, an opinion, a submission, client advice — you adopt that work product as your own. This is not unique to AI-generated research. It is how professional tools work: the lawyer exercises judgment, applies their expertise, and takes responsibility for the work that leaves their hands.

The Juris verification workflow is your record that you reviewed AI-generated research, traced its sources, and made a professional determination to rely on it. That record belongs to you. It demonstrates diligence. Completing it does not transfer responsibility to us — it documents yours.

You agree that you will not present AI-generated research output in any professional context — to a client, to a court, to a regulator, or in any document you file or sign — without having applied your own independent professional judgment to it. Juris is here to make that process faster, more thorough, and better documented. The professional judgment remains yours.

8. Your Data and Content

You retain full ownership of all data, documents, case files, notes, and other content you upload to Juris ("Your Content"). You grant Kwata Team a limited, non-exclusive licence to process, store, and transmit Your Content solely as necessary to provide the Juris service.

We do not claim any ownership over Your Content. We will not use Your Content to train AI models. Your Content will not be shared with other firms or users. See our Privacy Policy for details on how we handle documents and AI processing.

You represent that you have the right to upload all content you submit to Juris and that doing so does not violate any professional obligation, court order, solicitor-client privilege, or third-party right.

9. Intellectual Property

The Juris platform, including its software, design, trademarks, AI tools, and documentation, is owned by Kwata Team and is protected by Canadian and international intellectual property law.

You are granted a limited, non-exclusive, non-transferable, revocable licence to use Juris during your subscription period for your internal law firm purposes. You may not copy, modify, distribute, sell, or sublicence any part of the platform.

10. Confidentiality and Client Data

You acknowledge that client information and case materials uploaded to Juris may be subject to solicitor-client privilege, professional confidentiality obligations, and applicable privacy law. You are solely responsible for ensuring that your use of Juris complies with your professional obligations under your law society's rules of professional conduct.

We recommend reviewing the Juris Privacy Policy and, where appropriate, advising clients that their documents may be processed on our servers and, when AI features are used, by Anthropic's API subject to Anthropic's data processing terms (which do not use the data to train models).

11. Limitation of Liability

Limitation of Liability — Read Carefully

To the maximum extent permitted by applicable law, Juris and Kwata Team shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the platform, including but not limited to: lost profits, loss of data, professional sanctions, adverse costs awards, client complaints, or reputational harm.

Our total aggregate liability to you for any claim arising under or related to these Terms, regardless of the form of action, shall not exceed the greater of: (a) the total fees paid by you to Juris in the three (3) months immediately preceding the event giving rise to the claim; or (b) USD $100.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those jurisdictions, the above limitation applies to the fullest extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kwata Team, its officers, directors, employees, and agents from any claim, demand, loss, liability, or expense (including reasonable legal fees) arising from: (a) your use of Juris; (b) Your Content; (c) your violation of these Terms; (d) your violation of any applicable law, professional conduct rule, or third-party right; or (e) any claim by a client, opposing party, court, or regulator arising from AI-generated content that you relied on or filed.

13. Disclaimer of Warranties

Juris is provided on an "as is" and "as available" basis without warranty of any kind. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of security vulnerabilities.

We do not warrant the accuracy, completeness, or reliability of any AI-generated content, including Sage's research outputs and citation verification results. Legal information retrieved from external legal databases may be out of date, incomplete, or inapplicable to your specific circumstances.

You acknowledge that AI output is probabilistic. Despite our safeguards (including citation verification), Sage and other AI features can produce inaccurate, incomplete, or fabricated ("hallucinated") results. You are responsible for independently reviewing and verifying all AI output before relying on it or filing it. To the maximum extent permitted by law, we are not liable for any loss arising from: (a) service interruptions, downtime, or maintenance; (b) your reliance on AI output; (c) changes to, or discontinuation of, the platform or any feature, including changes resulting from software updates or code changes; or (d) the failure, change, or unavailability of any third-party service we rely on (including hosting, AI providers, and external legal databases). Your use of the platform is at your own risk.

14. Termination

Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and ceasing use of the platform. We may terminate or suspend your access immediately, without notice, for: (a) material breach of these Terms; (b) non-payment; (c) conduct that endangers our systems or other users; or (d) any use of the platform for illegal purposes.

You can export a complete copy of your data at any time from Settings → Data. Cancelling your subscription downgrades your firm to the free tier — your data is retained and remains accessible. We only permanently delete an account after 24 months of inactivity(we send email warnings before then), or when you explicitly request deletion. You are responsible for retaining your own client files in line with your professional obligations — exporting keeps you covered.

Service discontinuation / wind-down. We may modify, suspend, or discontinue the platform (in whole or in part) at any time. If we decide to permanently discontinue the platform, we will make reasonable efforts to give active subscribers at least thirty (30) days' notice by email before access ends, so you can export your data. To the maximum extent permitted by law, Kwata Team will not be liable to you or any third party for any loss, damage, business interruption, or other impact arising from the suspension or discontinuation of the platform. In the event of permanent discontinuation, your sole and exclusive remedy is a pro-rata refund of any prepaid fees covering the period after the platform ends; we have no further obligation or liability to you.

15. Governing Law and Disputes

These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.

You agree that any dispute arising from these Terms will be resolved in the courts of Alberta, Canada, and you consent to the personal jurisdiction of those courts.

Before initiating formal legal proceedings, you agree to attempt to resolve any dispute by providing written notice to juris@kwatateam.com and allowing us 30 days to respond.

16. General

  • ·Entire Agreement: These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Juris regarding the platform.
  • ·Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
  • ·Waiver: Failure to enforce any provision does not constitute a waiver of our right to enforce it in the future.
  • ·Assignment: You may not assign your rights under these Terms without our written consent. We may assign these Terms to a successor entity.
  • ·Notices: Legal notices to us should be sent to juris@kwatateam.com or by mail to Kwata Team
  • ·Force Majeure: We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including outages or failures of hosting, AI, or other third-party providers, network or internet failures, security incidents, government action, or acts of God.
  • ·Assumption of risk and residual matters: To the maximum extent permitted by applicable law, you use the platform at your own risk. Without limiting anything above, and notwithstanding any matter not expressly addressed in these Terms, we are not liable for any loss, damage, interruption, error, or outcome — foreseen or unforeseen — arising from or relating to the platform, its AI features and output, our infrastructure or any third-party service we rely on, any integration, or any change, update, suspension, or discontinuation of the Service, where it occurs despite our commercially reasonable efforts. We do not guarantee uninterrupted, error-free, secure, or uninterruptedly available service. This limitation is a fundamental basis of the bargain and survives termination.

17. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 14 days before the changes take effect. Continued use of Juris after the effective date constitutes acceptance of the revised Terms.
